Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “Brand Owner,” “Investor,” or “you”) and Precision MKT LLC, a Maryland limited liability company doing business as Precision Marketplace (“Precision,” “we,” “us,” or “our”), governing your access to and use of precisionmkt.com and all related services (collectively, the “Platform”).

Precision MKT LLC is a separate legal entity from Precision Design Group LLC. These Terms are entered into with Precision MKT LLC only.

By registering for an account or using any feature of the Platform, you confirm that:

• You have read, understood, and agree to be bound by these Terms and our Privacy Policy;
• You are at least 18 years of age and have the legal capacity to enter into binding contracts;
• If accepting on behalf of a company or legal entity, you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you must not access or use the Platform.

Precision Marketplace is an introduction and discovery platform that connects independent fashion brand owners (“Brands”) with potential capital partners, acquirers, and production/service partners (“Investors”). The Platform provides verified brand listings, a searchable investor network, and a structured introduction facilitation process.

• NOT a broker-dealer registered under Section 15 of the Securities Exchange Act of 1934;
• NOT a registered investment adviser under the Investment Advisers Act of 1940;
• NOT a funding portal registered under Regulation Crowdfunding;
• NOT a securities exchange, alternative trading system, or marketplace for securities transactions;
• NOT an agent, representative, fiduciary, or intermediary for any User in connection with any transaction;
• NOT a party to any deal, investment, acquisition, or agreement facilitated through the Platform.

When the Platform facilitates an introduction between a Brand and an Investor, Precision’s role ends at the introduction. All subsequent negotiations, due diligence, legal structuring, execution, and financial transactions occur exclusively between the parties and entirely outside the Platform. Precision has no role in, and accepts no responsibility for, any transaction or its outcome.

To use the Platform, you must be at least 18 years old, legally authorized to work and enter contracts in your jurisdiction, and not prohibited from receiving services under applicable law.

Users accessing the Platform as investors represent that they have sufficient knowledge and experience in financial and business matters to evaluate the merits and risks of a prospective investment, and that they are not relying on the Platform for investment guidance of any kind. Accredited investor status under SEC Rule 501 may be required for certain deal types and is the sole responsibility of the User to verify and maintain.

Brand Owners represent that they own or have full legal authority over the brand and assets represented in their listing, that all information submitted is accurate and complete to the best of their knowledge, and that they have the authority to pursue the transaction type they have indicated.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at legal@precisionmkt.com of any unauthorized access.

• Explorer (Free) — Basic browsing access with limited listing visibility.
• Member ($99/month) — Full exchange access, brand listings, and investor directory.
• Partner ($299/month) — Full access plus enhanced visibility and priority matching features.
• Brand Owner ($20/month) — Listing access for independent fashion brands.

Paid memberships are billed monthly in advance. All fees are in U.S. dollars and are non-refundable except as required by law.

You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period. No partial refunds are issued.

We reserve the right to change membership fees upon 30 days’ written notice. Continued use of the Platform after the notice period constitutes acceptance.

Precision reviews submitted materials to assess basic credibility and consistency. This review is not an audit and does not constitute financial due diligence on behalf of Investors. The “Verified” badge indicates only that submitted documentation was reviewed by our team — it does not guarantee accuracy or completeness of any information.

By submitting a listing, you represent and warrant that:

• All financial figures and operational data are accurate and truthful to the best of your knowledge;
• You own or are duly authorized to represent the brand and its assets;
• You are not currently subject to any legal proceeding that would materially affect the transaction you are pursuing;
• Your listing does not violate any applicable law, regulation, or third-party agreement.

Precision reserves the right to remove any listing at any time for any reason, including suspected inaccuracy, legal risk, or violation of these Terms.

Detailed financial information is only made available after both parties have executed a mutual non-disclosure agreement (“Mutual NDA”). Precision facilitates the introduction and NDA process but is not a party to any Mutual NDA between Users.

By accessing brand information on the Platform, Investors agree to:

• Use information solely to evaluate a potential direct investment, acquisition, or partnership;
• Not share or distribute brand information without express written consent of the Brand Owner;
• Comply with all terms of any Mutual NDA executed through the Platform;
• Not use information obtained through the Platform to circumvent the Platform or directly solicit brands outside the Platform’s process.

Nothing on the Platform — including brand listings, financial summaries, market data, communications from Precision staff, or any other content — constitutes investment advice, financial advice, legal advice, tax advice, or any other form of professional advice. Precision does not recommend, endorse, or express any opinion on the suitability of any investment or transaction.

All Users are solely responsible for conducting their own independent due diligence. You should consult qualified legal, financial, tax, and other professional advisers before making any investment or business decision.

Investing in independent fashion brands is speculative and involves substantial risk of loss, including loss of the entire investment. Past performance or revenue figures displayed on the Platform do not guarantee future results.

The appearance of a brand or investor on the Platform does not constitute an endorsement by Precision Marketplace. Verification status indicates only that documentation was reviewed.

You agree that you will not:

• Provide false, misleading, or fraudulent information in any listing, profile, or communication;
• Use the Platform to offer or solicit the sale of securities without full compliance with applicable securities laws;
• Contact other Users outside the Platform’s introduction process to circumvent the Platform;
• Use information obtained through the Platform for any purpose other than evaluating a direct transaction;
• Impersonate any person or entity or misrepresent your affiliation;
• Engage in conduct that could expose Precision to liability under any securities law;
• Attempt to scrape or extract data from the Platform by automated means;
• Use the Platform in connection with any fraudulent scheme or illegal activity;
• Violate any applicable local, state, federal, or international law.

You agree to indemnify, defend, and hold harmless Precision MKT LLC, its members, managers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) any information you submit to the Platform; (d) any transaction you enter into with another User; or (e) your violation of any applicable law or the rights of any third party.

The Platform and all content created by Precision are the exclusive property of Precision MKT LLC and are protected by applicable intellectual property laws.

By submitting content to the Platform, you grant Precision a non-exclusive, worldwide, royalty-free license to display and use that content solely for the purpose of operating the Platform. You retain all ownership of your submitted content.

Your use of the Platform is governed by our Privacy Policy, incorporated into these Terms by reference. We do not sell personal data to third parties.

Precision reserves the right to suspend or terminate your account at any time, with or without cause and with or without notice. Sections 2, 7, 9, 10, 11, 15, 16, and 17 survive termination.

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules in Baltimore, Maryland.

Brand Owners seeking capital raises should consult a qualified securities attorney before proceeding. Investors should verify their accreditation status and seek independent legal and financial counsel.

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Precision regarding the Platform.

If any provision is found unenforceable, that provision will be modified to the minimum extent necessary, and the remaining provisions continue in full force and effect.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the “Effective Date” at the top of this page. Your continued use after changes become effective constitutes acceptance.
